Terms of Service

By accessing or using ValyuPeak (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use the Service.

ValyuPeak is a SaaS price insights and repricing platform that allows e-commerce merchants to monitor competitor prices, configure pricing alerts, and automatically update product prices on connected storefronts (Shopify, WooCommerce).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

You must provide accurate, current, and complete information when creating an account. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

You must notify us immediately at support@valyupeak.com if you suspect any unauthorised use of your account.

You may not share your account with others, create accounts by automated means, or create an account for anyone other than yourself.

You agree not to use the Service to:

• Scrape URLs you do not own or have permission to monitor in a manner that violates the target website’s terms of service
• Circumvent, disable, or interfere with security features
• Use the Service to harass, harm, or infringe on the rights of any third party
• Transmit malware, spam, or other harmful code
• Reverse-engineer, decompile, or otherwise attempt to extract source code
• Exceed usage limits or use the Service in a way that places unreasonable load on our infrastructure
• Use the Service for any unlawful purpose or in violation of applicable law

We reserve the right to suspend or terminate accounts that violate these rules without notice.

Access to paid features requires a valid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select.

All fees are exclusive of taxes. You are responsible for any applicable sales tax, VAT, or similar taxes.

Subscriptions renew automatically unless you cancel before the renewal date. You may cancel at any time via your account settings. Cancellation takes effect at the end of the current billing period — no partial-month refunds are issued.

We reserve the right to change pricing with at least 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

The Service, including its software, design, and content, is owned by ValyuPeak and protected by intellectual property laws. These Terms do not grant you any right to use our name, trademarks, or branding.

You retain all rights to the data you bring into the Service — your internal product catalog, pricing rules, and integration credentials. You grant us a limited licence to process that data solely to provide the Service.

Scraped competitor data collected on your behalf through the Service is considered your data. You are solely responsible for ensuring that monitoring those URLs complies with applicable laws and those sites’ terms.

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service, you consent to our data practices as described there.

The Service integrates with third-party platforms including Shopify and WooCommerce. Your use of those platforms is governed by their own terms of service. We are not responsible for changes to third-party APIs that affect the functionality of our integrations.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Scraped price data may be incomplete, delayed, or inaccurate due to changes on competitor websites. Pricing decisions made using the Service are your sole responsibility.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALYUPEAK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) £100 GBP.

You agree to indemnify, defend, and hold harmless ValyuPeak and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if we cease offering the Service.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including intellectual property, limitation of liability, and dispute resolution.

These Terms are governed by the laws of the Netherlands. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands.

Before initiating any formal proceeding, you agree to contact us at support@valyupeak.com to attempt to resolve the dispute informally for at least 30 days.

We may update these Terms at any time. We will notify you of material changes via email or a prominent notice in the dashboard at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms.
